1. The agreement
These terms apply to the Alye website, app, API and SDKs (together, “Alye”), provided by Onruyl Private Limited, [REGISTERED ADDRESS](“we”, “us”). By creating an account or using Alye, you accept them on behalf of yourself and the organization you use Alye for (“you”). If you don't have authority to bind that organization, don't use Alye for it.
If you have a signed agreement with us, such as an Enterprise order form, it takes priority over these terms where they differ.
2. What Alye does
Alye records the LLM calls your services make and shows their cost, latency, errors and traces, with alerts and usage reports. Costs shown in Alye are estimates from published or your own prices; your provider's invoice is what you actually owe them. We improve Alye over time and may change or remove features; we won't remove a core feature of a paid plan during a period you have already paid for.
3. Accounts and organizations
- You must give accurate details and be at least 18.
- Keep your password, 2-step verification and SDK keys secret. Store SDK keys as environment variables, not in code. You are responsible for activity in your account and for calls sent with your SDK keys; revoke a key in the app if it leaks.
- Organization owners and admins control who has access and what is stored. Owners are responsible for the people they invite.
- Tell us at info@onruyl.com if you think your account has been compromised.
4. Your data
You own your data. “Your data” is everything your services send to Alye and everything you enter in it. You give us permission to store, process and display it only to provide, secure and support Alye for you. We don't sell it and don't use it to train AI models.
You are responsible for what you send. You confirm you have the rights and any notices or consents needed to send it, including personal data of your own users. Keep prompt and response capture off unless you need it, and don't send special categories of data (such as health or payment card data) unless we have agreed to it in writing.
Data processing. When we process personal data in your telemetry, we do so as your processor, following your instructions and our privacy policy. If you need a data processing agreement, email info@onruyl.com.
Usage information. We may use aggregated, de-identified information about how Alye is used (for example, how many calls are recorded) to run and improve Alye. It never identifies you or your users.
5. Acceptable use
You agree not to:
- use Alye for anything illegal, or to store or send content you have no right to;
- try to get into accounts, data or systems that aren't yours, or test our security without our written permission;
- overload Alye on purpose, get around plan limits or rate limits, or share one free account to avoid paying for a paid plan;
- copy, resell or offer Alye as a service to others without our agreement, or reverse engineer it except where the law allows;
- use Alye to build a competing product from our non-public features or data.
The Alye SDKs are open source under the Apache 2.0 licence, and that licence applies to them instead of this section.
6. Plans, limits and fees
- Plans. The plans, prices and monthly allowances of recorded LLM calls are on our pricing page. A recorded call is one request to a model provider.
- Going over. We email owners and admins at 80% and 100% of the monthly allowance. Up to 120%, everything is recorded at no extra charge. Past that, the Free plan keeps every failed call and a sample of the rest until the month ends, and the Team plan bills extra calls at the price on the pricing page.
- Billing. Paid plans are billed in advance, monthly or yearly; extra calls are billed monthly in arrears. Prices exclude taxes such as GST or VAT, which we add where required. You authorize us and our payment provider to charge your payment method.
- Price changes. We give at least 30 days' notice of price increases. They apply from your next billing period.
- Refunds. Fees are non-refundable except where the law requires otherwise or we agree in writing.
- Changing plans. Upgrades take effect immediately. When you move to a smaller plan, features it doesn't include are turned off and history beyond its limit may be deleted.
- Late payment. If a payment fails and isn't fixed within 14 days of our notice, we may move the organization to the Free plan or suspend it.
7. Availability and support
We work to keep Alye available and to fix problems quickly, but we don't promise it will be uninterrupted or error-free, except under an Enterprise agreement with an uptime commitment. The SDKs send data in the background and are built so that an Alye outage doesn't stop your application. Support is by email at info@onruyl.com.
8. Our property and feedback
Alye, its software, design and brand belong to Onruyl Private Limited and its licensors. These terms give you the right to use Alye, not ownership of it. If you send us ideas or feedback, we may use them without any obligation to you.
9. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for this agreement, and protect it at least as well as our own, except where the law requires disclosure.
10. Ending the agreement
- You can stop using Alye at any time. To close your account and delete your organization, email info@onruyl.com. Paid plans run to the end of the period you paid for.
- We may suspend or close an account that breaks these terms, puts Alye or other customers at risk, or doesn't pay. Where we reasonably can, we warn you first and give you time to fix it.
- After the agreement ends, you have 30 days to ask for an export of your data. After that we delete it, as our privacy policy describes.
- Sections about your data, fees owed, our property, confidentiality, liability and the law that applies continue after the agreement ends.
11. Disclaimers
Except as written in these terms, Alye is provided “as is” and “as available”. To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. Cost figures and forecasts are estimates to help you manage spend, not financial or billing advice.
12. Limits of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, even if warned they might happen.
Our total liability for all claims under these terms is limited to the fees you paid us in the 12 months before the claim, or USD 100 if that is more. These limits don't apply to liability that the law doesn't allow us to limit, such as for fraud.
13. Claims about your data
If someone makes a claim against us because of data you sent to Alye or your breach of the acceptable use section, you will defend us and cover the resulting costs and damages, provided we tell you promptly and let you control the defence.
14. Law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute by talking to each other. If that fails within 30 days, the courts of [CITY], India have exclusive jurisdiction.
15. General
- We may update these terms. We will change the date at the top, and for important changes email account owners at least 14 days before they apply. Continuing to use Alye after that means you accept them.
- Neither of us is responsible for delays caused by events outside reasonable control, such as outages of providers we rely on.
- You may not transfer this agreement without our consent, except as part of a merger or sale of your business. We may transfer it to a successor of our business.
- If part of these terms can't be enforced, the rest still applies. Not enforcing a term is not a waiver of it.
